《宁德时代》 recently announced that Zhao Feng Gang, a director of the company, submitted his resignation letter to the board of directors on December 5. The resignation is due to the company's governance structure adjustment.

The resignation does not affect the number of board members below the required threshold, and the resignation will take effect from the date the resignation letter was received by the board of directors. Zhao Feng Gang's resignation will not have a significant impact on the company's operations or the board of directors' work.

Zhao Feng Gang has completed the necessary handover procedures for his position. After resigning as director, he will continue to hold his positions as General Manager of Research and Development System Alliance and General Manager of Manufacturing System Alliance.

It is noted that Zhao Feng Gang directly holds 14,924 shares of A-shares in the company, with 53,728 unexercised A-share stock options and 174,175 restricted shares. His resignation does not affect his obligations to comply with relevant laws and regulations, including the Company Law and the Regulations on Shareholders and Directors.

At the same time, the board of directors held a meeting to discuss Wu Yingming's candidacy for non-independent director and nomination for the Strategic Committee of the fourth board of directors. Wu Yingming was nominated as a candidate for non-independent director and accepted by the board of directors. If Wu Yingming is elected as a director, the number of directors who are also high-level management personnel or worker representatives will not exceed one-fifth of the total number of directors.

Wu Yingming is currently serving as Chairman of the Board of Supervisors, Regional Management General Manager, and General Manager of Shangai Era (Shanghai) New Energy Technology Co., Ltd., Managing Director of Ningbo Meishan Free Trade Port Limited Liability Company, Executive Director and General Manager of Dian Shi Tianxia Energy Technology Co., Ltd., Executive Director and CEO of Huadian Jinwei Energy Technology Co., Ltd., Board Director of Shangai Era (Shanghai) New Energy Technology Co., Ltd., and Managing Director and General Manager of Ningbo Meishan Free Trade Port Limited Liability Company.
